Governance & Social Responsibility

Since 2009, when the Palestinian Capital Market Authority published the Code of Corporate Governance in Palestine, Palestine Poultry Company -Aziza- has worked to empower and develop the application of governance principles inside the company, focusing on transparency and accountability in all internal and external transactions. By doing that, the company aims to achieve the highest levels of governance and disclosure and apply all the systems, regulations, and laws required by the related supervising organizations. The company's board performs its duties and practices its authorities which are assigned by the internal statute and adheres to the Code of Corporate Governance to protect the rights of shareholders and other related parties, enhance the company's operation status, and empower its commercial positioning.

Executive Management

The executive management works on applying good governance policies to achieve equity, integrity, transparency, and disclosure of all of its financial and non-financial transactions. By doing that, transparency will rule the relationship between the three parties: shareholders, board of directors, and executive management, and that will guarantee achieving different interests with equity. Inspired by the company's belief in the importance of applying the principles of governance and transparency, the company has followed the following steps:
  • The clear definition and separation of powers and responsibilities for each of the general assembly, the board, and the executive management.
  • The application of ethical rules of conduct code and the conflict-of-interest prevention systems.
  • Building an organizational hierarchy that clearly explains the powers and responsibilities of each internal department. Each position in this hierarchy has a clear job description.
  • Developing a power system for the different administrative levels of the executive management, helping to organize its relationship with the board and the general assembly.
  • Applying the best practices in accordance with the requirements of the Palestinian Capital Market Authority and Palestine Exchange.
  • Proper planning and preparation of the annual general assembly meetings, and working hard to provide the shareholders with all the required data and information that enable them to participate efficiently in these meetings.
  • The internal auditing department of Palestine Industrial Investment Company (parent company) runs the best internal auditing procedures in different internal systems. The internal auditing department executes this duty under the supervision of the board and the internal auditing committee of Palestine Poultry Company formed by the boards of the company and its parent company.

Board of Directors

The Company's board of directors enables the presence of independent members in accordance with the Code of Corporate Governance in Palestine, which defines an independent member as a member who does not have any relationship with the company except his/her board membership. This enables independent members to make decisions without any external considerations. The Chairman and the members of the board of directors have the following duties and responsibilities towards the company and its shareholders: 
  • The Chairman and the members of the board of directors are responsible for strategy building, planning, and policy adoption as well as the approval of budgets, systems, financial policies, investment policies, and financial data. The subcommittees of the board of directors are responsible for these duties.
  • The Chairman and the members of the board of directors take complete responsibility in the event of willful negligence.
  • The Chairman and the members of the board of directors are responsible for designing a documented system to avoid conflict of interest.
  • Using cumulative voting in electing the board members enables each shareholder to have a number of votes equivalent to the number of shares he/she owns multiplied by the number of board members.
  • The board of directors ensures that all shareholders, including the minority and expatriate shareholders, enjoy all their rights in accordance with the laws, systems, and regulations, as well as the company's internal system.
  • The board is responsible for creating a friendly environment during the general assembly meetings that enable discussion and raising questions.
  • The board Notifies the shareholders about any deals, risks, and major issues affecting the company.

Social Responsibility

As part of its vision of social responsibility and policy, Palestine Poultry Company continued its activities during the past year by supporting different local community segments through the adoption and sponsorship of social and charitable activities. The company focuses on spreading social awareness for issues connected with healthcare, such as breast cancer, diabetes, and more. To empower the company's social responsibility, the company's board dedicates an annual budget to support local societies and charitable organizations. During 2021, the company spent a total amount of 44,339 USD on social responsibility activities, distributed as follows:

Donating a total of 16,687 USD to charitable organizations.

Supporting the local community activities with Aziza products with a total value of 16,603 USD.

Cash and in-kind donations to support schools and educational institutions for 4,436 USD

Donations to support national institutions operating in serving residents and the sectors of agriculture and livestock for 6,613 USD

Graduation projects and training
The company supported a group of graduation projects and provided a group of training opportunities for students of the faculties of Engineering, Agriculture, Veterinary, and Economics from An-Najah National University and other universities

Academic Programs

The company participated in the evaluation of a group of academic programs in the local universities to support fresh graduates and bridge the gap between education and work.

Internships

The company provided a group of internships for 20 university students at the company's headquarters and 7 other students at its slaughterhouse as part of their academic programs

Employment and capacity building
The company plays a role in reducing unemployment in different governorates in Palestine as it offers job opportunities for graduates and the unemployed and provides them with a safe and positive work environment. The company supports its staff members with healthcare insurance services and work injury insurance. The company takes the responsibility to build the capacities of its staff members by providing them with training opportunities inside and outside Palestine to enable them to perform their duties with quality and efficiency.

Environmental protection
The company takes its belief in environmental protection into action by providing its facilities with eco-friendly systems like the facilities of waste treatment and water treatment in Aziza Slaughterhouse. The company also takes care of green areas in different farms and makes continuous effort to educate its employees about the importance of environmental awareness and the preservation of the environment.
